Terms of Service

Welcome to Babai Cloud! These Terms of Service ("Terms") govern your access to and use of our website (babai.cloud), the Hosted Hermes Agent console, API endpoints, and our isolated container sandboxing services (collectively, the "Service").

By accessing or using the Service, you ("User", "you", or "your") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.

1. Account Creation & Security

To access our Hosted Hermes Agent console and deploy sandboxed environments, you must register for an account:

Accuracy: You agree to provide accurate, current, and complete email addresses and profile fields during signup. You are responsible for keeping your account details updated.
Security: Authentication is handled securely via our identity provider (Supabase Auth). You are solely responsible for maintaining the confidentiality of your credentials and session tokens, and for all activities that occur under your account.
Unauthorized Use: You must immediately notify our team at security@babai.cloud if you detect or suspect any unauthorized access, credential leaks, or security compromises of your developer account.

2. Platform Services & Sandbox Provisioning

Subject to compliance with these Terms, Babai Cloud grants you a limited, non-exclusive, non-transferable, revocable license to access the Console and deploy autonomous agents in our isolated runtime sandboxes:

GKE Sandboxing: Your agents are provisioned and hosted inside sandboxed containers running on Google Kubernetes Engine (GKE) node pools.
Litestream Backups: Our platform performs 1-second Recovery Point Objective (RPO) backups by continuously streaming SQLite block-level updates to Google Cloud Storage (GCS). We utilize these backups to restore agent states in the event of hardware failures or scheduled node updates.
Message Routing: We offer pre-configured webhooks that route messages between your running containers and third-party messaging services (Telegram, WhatsApp, Slack). You are responsible for configuring and maintaining valid webhook secrets inside your agent settings.

3. Acceptable Use & Strict Safety Boundaries

Because Babai Cloud provides raw, sandboxed virtual environments with outbound network access, we enforce a strict, zero-tolerance acceptable use policy.

[!CAUTION] Prohibited Activities: You agree not to use, or permit your autonomous agents to use, our GKE sandboxes to:

Attempt any sandbox escape, privilege escalation, container breakout, kernel exploit, or scanning of the underlying GKE cluster network.

Conduct distributed denial-of-service (DDoS) attacks, automated brute-forcing, network port scanning, or malicious scraping of other services.

Deploy autonomous spam loops, bulk unsolicited messaging campaigns, phishing pages, or automated scam pipelines via WhatsApp, Telegram, or Slack.

Mine cryptocurrency (Bitcoin, Monero, Ethereum, etc.) or run unauthorized distributed compute nodes.

Deploy agents designed to manipulate financial markets, bypass security controls, or execute illegal or destructive operations.

We utilize automated heuristics to monitor CPU spikes, memory leaks, and unusual network egress from our container pools. We reserve the absolute right to throttle, pause, or permanently delete any sandboxed container that breaches these boundaries or consumes unscheduled GKE node resources.

4. Subscriptions, Credits, & Billing

Free Sandbox Tier: Represents a promotional trial including up to $30/mo free credit. We offer this tier on a best-effort basis with shared container pools. We make no guarantees regarding uptime, memory allocations, or Litestream backup preservation on the Free tier.
Paid Plans: Our Pro ($150/mo) and Enterprise Custom plans are billed on a recurring monthly cycle. All checkout forms and payment cards are handled via PCI-compliant subprocessors (Stripe and Razorpay).
Cancellation: You can cancel your subscription at any time directly through the Console Billing panel. Upon cancellation, your card will not be charged for subsequent periods, but we do not provide prorated refunds for the current billing cycle.
Taxes: All subscription fees are exclusive of applicable state, federal, or country-specific sales taxes (GST/VAT), which will be applied during checkout.

5. IP & Ownership of Sandbox Content

Your Property: You retain full ownership, copyright, and intellectual property rights over any scripts, agent configurations, environment variables, SQLite database states, and container payloads you deploy.
No AI Training: As detailed in our Privacy Policy, we do not use your source code, runtime logs, backup database snapshots, or SCPI commands to train proprietary or third-party AI models.
Our Property: The landing pages, console code, website graphics, system architectures, SCPI specifications, and platform orchestration tools are the sole property of Babai Cloud and our parent OneBab AI.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BABAI CLOUD, ITS PARENT ONEBAB AI, OR ITS THIRD-PARTY SUBPROCESSORS (GCP, SUPABASE, VERCEL, RESEND, STRIPE, RAZORPAY) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, SQLITE STATES, AGENT LOGS, OR BUSINESS DOWNTIME, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BABAI CLOUD FOR THE SPECIFIC SERVICE IN QUESTION DURING THE SIX (6) MONTHS PRIOR TO THE EVENTS GIVING RISE TO LIABILITY.

7. Termination

By You: You may terminate these Terms at any time by deleting your account inside the Console and purging your running containers.
By Us: We reserve the right to suspend or terminate your account and reclaim any GKE sandboxes immediately and without notice if we detect a breach of Section 3 (Acceptable Use) or non-payment of subscription fees.

8. Governing Law & Jurisdiction

These Terms, and any dispute or controversy arising out of or relating to them, shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco, California.
